Anthropic IPO Moves Into Public Filing
Anthropic filed an S-1 registration statement with the U.S. Securities and Exchange Commission dated October 26, 2026. The Anthropic IPO concerns Class A common stock, and the company has applied to list on the Nasdaq Global Select Market under “ANT.” The filing is preliminary, so the offering has not been completed.
Key fields for the offering price, share count, underwriting discount, and proceeds are still blank. The company says the public sale would begin as soon as practicable after the registration statement becomes effective. Certain selling stockholders may also sell additional shares, with those proceeds going to the sellers rather than Anthropic. The filing therefore does not yet establish a final valuation or offering size.
A Public-Benefit Structure Shapes Control
Anthropic is organized as a Delaware public benefit corporation whose stated purpose includes the responsible development and maintenance of advanced AI for humanity’s long-term benefit. Its Long-Term Benefit Trust is intended to consist of financially disinterested trustees with expertise in areas such as AI safety, national security, public policy, and social enterprise. Through a special share class, the trust would help elect and remove certain directors, embedding the public-benefit purpose in governance.
Voting power would not rest solely with publicly traded Class A shares. A founder-related entity is expected to hold Class F stock carrying 50.1% of the overall voting power for matters such as electing most directors, while Class T stock would be used by the Long-Term Benefit Trust and generally carry no economic rights. The filing also classifies Anthropic as a controlled company under Nasdaq rules. The main open questions are the final terms, the effective date, and how this multi-class structure will balance growth, shareholder accountability, and AI-safety goals.
